REMINDER – PA DEPARTMENT OF STATE ANNUAL REPORT STARTING IN 2025

On Nov. 3, 2022, Governor Wolf signed into law Act 122 of 2022, which created an annual report requirement for domestic and foreign business filing associations. The annual report requirement begins on January 1, 2025.

Who must file an annual report?

Domestic business corporations, nonprofit corporations, limited liability companies, limited liability partnerships, electing partnerships that are not limited partnerships, limited partnerships (including limited liability limited partnerships), professional associations, business trusts, and all foreign (non-PA) entities registered to do business in the state.

When is the report due?

Type of Entity Due Date
Corporations (business and nonprofit) No later than June 30 of each year
LLC No later than Sept. 30 of each year
All other associations No later than Dec. 31 of each year

What is the fee for the annual report?

The fee is $7 for business corporations, limited liability companies (LLCs), limited partnerships (LPs) and limited liability general partnerships (LLPs). There is no fee for nonprofits.

How do I file the annual report?

Businesses can file the report online at https://file.dos.pa.gov. An online login will be required so businesses that do not already have an online account with the PA Department of State will need to create one to file the annual report online. Entity information already on file with the state will be prepopulated into the Annual Report form.

Annual reports may also be paper filed, but online filing is strongly encouraged as electronically submitted reports will be automatically and immediately processed. Paper filed reports may not be processed immediately.

What information is required on the annual report?

  • Business name
  • Jurisdiction of formation
  • Registered office address
  • Name of at least one governor (director, general partner, LLC manager or LLC member with material management responsibility, etc. depending on type of association)
  • Names and titles of the principal officers, if any
  • Address of the principal office
  • Entity number issued by the PA Department of State
